NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS AND TO THE FULLEST EXTENT PERMITTED BY LAW, AQRS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND WHATSOEVER, INCLUDING, WITHOUT LIMITATION, ANY LOSS OF PROFITS, BUSINESS, USE, GOODWILL, DATA, REVENUE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, ANY CONTENT ON THE SITE, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE, EVEN IF AQRS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AQRS'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO YOUR USE OF THE SITE SHALL BE LIMITED TO DIRECT DAMAGES AND SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

This section applies solely to website use and does not apply to, and does not limit, AQRS's obligations under any separate written service contract entered into with a customer for actual roofing, siding, or home improvement work.

11. Indemnification

You agree to indemnify, defend, and hold harmless AQRS, its affiliates, and their respective directors, officers, employees, agents, contractors, and licensors from and against any and all losses, liabilities, damages, claims, suits, actions, judgments, penalties, settlements, fines, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to any third-party claims to the extent resulting from or arising out of:

1. Your breach of or failure to comply with any provision of these Terms;
2. Any gross negligence, willful misconduct, or illegal acts by you or any person acting on your behalf;
3. Your submission of false, misleading, defamatory, infringing, or unauthorized User Content or information through the Site;
4. Your misuse, improper use, unauthorized access, or unauthorized modification of the Site, its servers, or its related networks and systems;
5. Your infringement, misappropriation, or violation of any intellectual property, privacy, publicity, or proprietary right of any third party.

12. Governing Law and Binding Arbitration

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.

Binding Arbitration & Class Action Waiver: Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Site shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Arbitration hearings shall take place in Hampden County, Massachusetts.

Waiver of Jury Trial & Class Actions: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. You explicitly waive any right to a trial by jury or to participate in a class action lawsuit against AQRS regarding website usage.

13. Changes to These Terms

AQRS reserves the right to modify these Terms at any time. Changes will become effective immediately upon posting to the Site with an updated "Last Updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

14. Severability and Entire Agreement

These terms, together with our Privacy Policy and any applicable Official Rules for promotions, constitute the entire agreement between you and AQRS regarding your use of the Site.
